September 9th, 2025 – HELPAC and Elixens France have announced that they have signed a letter of intent regarding the sale by HELPAC to Elixens France of its B2B unit.
Following the 2024 acquisition of HERBISSIMA from the HSN group by YXENS and its merger with Elixens France, the two groups have now reached a new agreement concerning the aromatic raw materials business for HELPAC’s industrial clients. The transaction, which remains subject to the fulfilment of certain suspensive conditions, is expected to be finalized in the fourth quarter of 2025.
This operation is aligned with the strategic developments of both companies :
- HSN Group, parent company of HELPAC, intends to refocus on the B2C market by developing purpose-driven brands in the fields of aromatherapy and phytotherapy.
- Elixens France aims to expand its sourcing capabilities and B2B offering of aromatic ingredients (essential oils, hydrosols, and floral waters) for customers in the cosmetics, flavor & fragrance, and aromatherapy industries.
The transaction includes the acquisition of assets directly related to B2B sourcing and trading of aromatic ingredients, the transfer of employees dedicated to the B2B market, and the creation of a joint venture to operate the historic agricultural distillery in St. HILAIRE.
